Starting a business involves more than choosing a name that sounds good. A business name is an important part of your company’s identity, and choosing a name without checking its legal and practical availability may create problems later. A name may already be registered by another business, protected as a trademark, or already used online.
Before registering your company, creating your brand, or investing in marketing materials, it is important to make sure that your proposed name is available and suitable for use. Below are 3 important things you should check before naming your business.
1. Check & Reserve the Company Name
The first step is to check whether your proposed company name is available for registration. In Cambodia, company registration is handled through the Ministry of Commerce (MOC), which provides a company/enterprise name reservation service through the Online Business Registration system.
A proposed name may face difficulties if it is identical or confusingly similar to an existing registered company name.
- Existing registered company names
- Similar or confusingly similar names
- Availability of your proposed name
- Whether the name can be reserved through the Ministry of Commerce
- Prepare your preferred company name
- Submit the proposed name to the MOC
- Reserve the approved name before proceeding with company registration or make the necessary changes in accordance with the MOC’s assessment
Tip: It is advisable to prepare alternative names in case your preferred name is unavailable or considered too similar to an existing company name.
2. Check Trademark Availability
A company name and a trademark are not the same thing. A company may be able to register a particular name with the Ministry of Commerce, while another person or business may already have trademark rights over the same or a similar name.
Before investing in your logo, packaging, advertising, or other branding materials, you should check whether your proposed name or logo is already protected by a trademark.
- Identical registered trademarks
- Similar trademarks
- Relevant goods or services covered by existing trademarks
- Potential confusion with an existing brand
Why it matters: Using a name that conflicts with an existing trademark may expose your business to legal disputes and could require you to change your business name or branding after you have already invested significant time and money.
Tip: Company name registration and trademark registration provide different forms of protection. Checking one does not mean that the other is automatically clear, both checks should be conducted to ensure the best outcome.
3. Check Domain Name & Social Media Handles
In today’s digital economy, establishing your business identity goes beyond registering a company name. Your customers should also be able to find your business easily online.
Before committing to a name, check whether the corresponding domain name and social media handles are available.
- Website domain name
- Facebook page/username
- Instagram username
- TikTok username
- LinkedIn company name
- Other social media platforms relevant to your business
Tip: Try to use the same or a similar name across your website and social media platforms. A consistent online identity can make your business easier to find and help strengthen your brand.
If your preferred domain name or social media handle is already being used by another business, consider whether it may cause confusion with your business before proceeding.
Before You Commit to a Name
Choosing a business name is an important decision that should be made with both legal and commercial considerations in mind. Checking the company name, trademark availability, and online presence before committing to a name can help your business avoid unnecessary disputes, costs, and rebranding in the future.
A few checks before you start can save your business from a costly change later.
